You must renew your Utah business entity registration annually, beginning one year following the initial business entity registration. You can renew your Utah business registration online through the Utah Division of Corporations & Commercial Code Business Renewal website. You will need your business entity’s entity identification number, name of your business entity, and a unique Access ID code from the Division of Corporations in order to access the online business renewal.

If your business entity has expired because of a late renewal, you may be able to renew the entity online, however, depending on the length of time, you may need to file certain paperwork to reinstate your business entity.

How often do I need to renew my Utah business entity?

Utah requires that business entities renew their business registrations with the state every year. The Utah Division of Corporations & Commercial Code will usually send out a physical postcard reminder to your business address recorded with the Division with a renewal deadline and instructions on how to renew your business registration.

Where can I renew my Utah business entity?

You can renew your Utah business entity through the Utah Division of Corporations & Commercial Code Business Renewal website, or, you can file a paper renewal form. The online business renewal process is usually the easiest, fastest, and most straightforward. If you have questions about how to access the business renewal website, you can always contact the Utah Division of Corporations & Commercial Code for assistance. I have found that the division has been very helpful and willing to answer questions.

What information do I need to renew my Utah business entity?

In order to renew your business entity, you will need to know:

  1. The full and complete name of your business entity (including the appropriate suffix, e.g., LLC, Inc., etc.).

  2. Your business entity identification number.

  3. The Renewal or Access ID number received from the Division of Corporations (for online renewals)

  4. Information regarding certain changes to your Utah business entity.

Full and complete business entity name. You will need to make sure that you are using the correct and full Utah business entity name so that the registration is properly filed and attributed to your business entity. You can always review the exact business entity name you filed by reviewing your Utah Certificate of Organization (for an LLC) or your Utah Articles of Incorporation (for a corporation) and by performing a Utah business entity search to find your exact name.

Business entity identification number. This entity ID number can also be found through the Utah business entity search and is visible when you open your entity profile. It is a 6-8 digit number followed by a hyphen and then another 4 digits. This is NOT your IRS EIN.

Renewal or Access ID number. The Utah Business Renewal or Access ID number is usually mailed to your recorded business address on a small postcard from the Utah Division of Corporations & Commercial code. If you lost or never received the access ID, you can easily request one using the request access ID feature of the Utah business renewal website. The access ID process is quick and you will usually receive the ID within a few minutes through your email. You MUST have this number to renew your Utah business entity registration online.

Information regarding certain changes to your Utah business entity. One of the primary reasons you must renew your Utah business entity each year is to maintain up to date information on the publicly available Utah business registry so that people can accurately identify and verify your business entity.

When you renew your Utah business registration, you can change:

  • The purpose of your business.

  • Who your registered agent is.

  • The principal business address.

  • Who are the designated governing persons of your business.

Tip: if you need to change the name of your business, you must file a specific form (depending on the type of your business entity) separately from your business renewal.

What do I do if my Utah business entity registration has expired?

If your Utah business entity registration has expired, you may be able to still easily renew it through the Utah Division of Corporations & Commercial Code online Business Renewal. Depending on how long it has been expired (usually at least 60 days after your annual renewal is due) your entity could administratively dissolved or terminated by the Division of Corporations, in that event you will need to file a specific application for reinstatement within two years (for LLCs and Corporations) of the adminstrative dissolution of your business entity. You can expect to pay additional filing fees if your business entity renewal is late, expired, and/or administratively dissolved or terminated.
